Why did HeartBeam (BEAT) stock go up? FDA designation, not clearance

HeartBeam closed up about 50% on 5 October 2026 after an FDA Breakthrough Device designation for at-home heart attack assessment. What the designation does and doesn't mean, plus the financing.

The short version

  • HeartBeam rose about 50% after the FDA gave its at-home heart attack assessment tool Breakthrough Device designation.
  • Designation speeds up FDA contact and review. It isn't clearance: HeartBeam still needs a pivotal study and a new filing.
  • Cash was $8.7M at 30 June with a going-concern warning, and a $25M ATM with Titan is in place.

Likely catalyst: Before the open, HeartBeam said the FDA granted Breakthrough Device designation to its system for assessing potential heart attacks at home. That is not marketing clearance for that use.

What happened

HeartBeam closed Monday at about $0.65, up roughly 50% from Friday’s $0.43. About 404 million shares traded. Over the previous 30 sessions it averaged about 440,000 shares a day, so Monday’s volume was more than 900 times normal.

The stock opened at $0.75 and hit $0.95 before fading into the close.

The likely catalyst

At 8:31 a.m. ET, before the open, HeartBeam said the FDA had granted Breakthrough Device designation to the HeartBeam System as a tool for assessing potential heart attacks at home. Release.

Designation is not clearance. The program gives a device priority review and more contact with the FDA during development. It does not authorize the company to market the device for that use. FDA.

HeartBeam’s FDA clearances so far cover arrhythmia assessment. It plans to agree a multicenter pivotal study with the FDA and, if the study succeeds, to file to add heart attack assessment. Monday’s news is a step in that process. It is not an approval of an at-home heart attack test.

Money and dilution check

At 30 June, HeartBeam had $8.7 million of cash and equivalents, plus $57,000 of restricted cash. It used $7.0 million in operations in the first half. It said its cash was not enough for the next 12 months, which raises substantial doubt about its ability to continue as a going concern. It also said it expects no material commercial revenue in 2026. 10-Q.

Here is the financing record up to the cutoff:

  • Older ATM with Public Ventures, LLC: up to $17 million at a 3% commission. HeartBeam sold 970,467 shares through it for $1.5 million net in early 2026, all before 11 March. 10-K.
  • April offering: Titan Partners Group LLC, a division of American Capital Partners, underwrote 14.4 million shares at $0.80, including the over-allotment. 8-K.
  • New ATM with Titan Partners Securities LLC, signed 14 August. It allows up to $25 million of share sales at a 3% commission. 8-K.

No filing says whether the Public Ventures agreement was ended when the Titan ATM was signed. No filing before Monday shows sales under the Titan ATM. The $25 million is a ceiling, not cash raised, and SEC size limits on smaller issuers can cap how much of it is usable. See the baby shelf rule.

HeartBeam also has a Nasdaq bid-price deficiency. The stock has been below $1, and the company has until 28 December to regain compliance. 8-K.

Dilution math

ATM sales agreement with Titan Partners Securities LLC (14 Aug 2026): up to $25.00M. [source]

At the October 5, 2026 close of $0.65, that is about 38.2M new shares, or 68% of the 56.3M shares outstanding.

Arithmetic on filed capacity, not a forecast. Capacity isn't cash raised; sales show up in later filings. SEC baby-shelf limits can cap how much is usable.

What to watch

  • 2026-12-28: Nasdaq bid-price deadline. The stock needs a closing bid of $1.00 or more for ten straight business days, or a second 180-day period if it qualifies. [source]
  • The September-quarter 10-Q, due in mid-November, should show any shares sold through the Titan ATM.
  • FDA alignment on the design of the pivotal heart attack study, which HeartBeam expects in the coming months.
