Why did BIO-key (BKYI) stock go up? A new Middle East agency customer
BIO-key International closed up about 72% on 13 October 2026 after announcing an unnamed Middle East government security agency as a new customer. What the release says and doesn't, plus the cash, warrant and listing checks.
The short version
- BIO-key said a new, unnamed Middle East government security agency picked its MFA and single sign-on platform, with deployment nearing completion. It gave no contract value, term, user count or country, and filed no 8-K.
- The stock closed at $2.83, up about 72% from $1.65 but about 31% below its $4.11 open. About 82 million shares traded, roughly 40 times the 2.04 million outstanding.
- Armistice Capital has warrants for 1,236,668 shares at $4.06, about 61% of the share count, which can't be exercised until stockholders approve. That vote resumes on 30 October, and a resale S-1 for the shares was filed on 9 October.

What happened
BIO-key International closed Tuesday at $2.83, up about 72% from Monday’s $1.65. It opened at about $4.11 and closed about 31% below that level. About 82 million shares traded, against an average of about 5.8 million over the prior 30 sessions. That average is itself inflated by one day, 29 September, when about 170 million shares traded.
BIO-key provides identity and access management software, including its PortalGuard platform and fingerprint biometrics.
The likely catalyst
Before the open, BIO-key said that “another Middle East government security agency, a new customer for the Company” had selected its Multi-Factor Authentication (MFA) and Single Sign-On (SSO) platform. The deployment protects access to the agency’s core communications infrastructure, including web-based services, and is “nearing completion”. BIO-key said the deal went from first talks to agreement in under two months. IT Harmony, its value-added distribution partner in the Gulf, supported the work.
What the release doesn’t say:
- the agency’s name or country (the dateline is Riyadh and Holmdel, N.J.);
- the contract value, length, user count or when revenue is recognised.
We found no 8-K for the announcement as of 14 October.
A second release the same morning named Stephen Morrow President of PortalGuard, succeeding Mark Cochran, who retired.
This is the second spike on a Gulf announcement in two weeks. On 29 September BIO-key announced a partnership with Dubai-based Al Majlis Group, also with no value disclosed. The stock closed up about 86% that day at $3.12, then slid back to $1.65 by 12 October.
The share count is small. BIO-key had 2,035,149 shares at 30 September, after a 1-for-10 reverse split on 30 April. At Tuesday’s close the company was valued at about $5.8 million, and the day’s volume was about 40 times the share count.
Money and dilution check
At 30 June, BIO-key had $1.38 million of cash and used $1.20 million in operations in the first half. It says it needs about $750,000 a month to run the business, doesn’t have enough cash for twelve months, and carries going-concern language. In August it raised about $2.5 million gross when Armistice Capital exercised warrants at a reduced price of $4.06. 10-Q.
The share count has nearly doubled since the split, from about 1.09 million in April. Part of that came from paying off a Streeterville Capital note with stock: three exchanges from July to 29 September, the last for 247,805 shares, left the note paid in full.
The main overhang is the August deal’s new warrants: 1,236,668 shares at $4.06, about 61% of the current count. They can’t be exercised until stockholders approve them under Nasdaq Rule 5635(d). That proposal has failed to pass twice, and the meeting resumes on 30 October. A resale S-1 filed 9 October covers those shares. Full cash exercise would bring in about $5.0 million and lift the count to about 3.27 million. Tuesday’s close was below the $4.06 strike. See S-1 vs S-3.
On listing: Nasdaq suspended the stock on 13 May over the $1.00 bid rule and a late 10-K. Trading resumed on 8 July after a hearing, and BIO-key is under a Panel Monitor until 6 July 2027. 8-K. See the Nasdaq delisting process.

What to watch
- 2026-10-30: Reconvened annual meeting vote on Proposal 4, which would make the 1,236,668 warrants at $4.06 exercisable. It fell short on 3 September and again on 2 October. If it fails, BIO-key must call a meeting every 90 days. [source]

- Effectiveness of the resale S-1. BIO-key agreed to use commercially reasonable efforts to have it effective within 90 days of 10 August, which is about 8 November. [source]
- 2026-11-16: Approximate due date for the September-quarter 10-Q, which should show cash after the August warrant exercise. BIO-key filed its 2025 10-K and March-quarter 10-Q late this year.
- 2027-07-06: End of the one-year Nasdaq Discretionary Panel Monitor that began when trading resumed in July. [source]
