Money and dilution check

On 11 August Katapult issued 79,700,142 shares to the equityholders of Aaron’s and CCFI under the merger agreement, according to the 424B3 prospectus dated 6 October. That prospectus registers up to 74,025,322 of those shares for resale by the selling stockholders, about 87% of the 84,849,055 shares outstanding at 3 September. The company receives no proceeds from those resales, and it reported no preferred stock outstanding at 3 September.

On 30 September a subsidiary, CCF OpCo, signed a seventh amendment to its revolving credit agreement. It moves the scheduled end of the draw period from 30 September to 30 November 2026; a twelve-month amortization period follows. Sunflower Bank replaced Huntington as administrative agent.

The June-quarter 10-Q, filed before the mergers closed, reported $18.0 million of cash and cash equivalents at 30 June. It said Katapult’s New Revolving Facility matures on 4 December 2026 and that it lacked the standalone liquidity to repay it at maturity, which raised substantial doubt about its ability to continue as a going concern. Management concluded that doubt was alleviated by its plans, including closing the mergers and refinancing, extending or replacing the facility.

A Schedule 13G/A filed on 1 October shows Iridian Asset Management reporting 919,498 shares, about 1% of the class.

What to check next

  • The 12 November results: the first quarterly report to include Aaron’s and CCFI.
  • Any refinancing or extension of the New Revolving Facility before 4 December, and of the CCF OpCo draw period before 30 November.
  • Form 4 and 13D/G filings showing changes in the merger holders’ positions after the resale registration.

Dilution math

Resale registration of merger shares (no new shares, no proceeds to the company). [source]

Arithmetic on filed capacity, not a forecast. Capacity isn't cash raised; sales show up in later filings. Up to 74,025,322 shares issued in the August 2026 mergers are registered for resale by selling stockholders, about 87% of the 84,849,055 shares outstanding at 3 September. These shares are already outstanding; the company receives no proceeds from resales.
