What happened

The OLB Group closed Monday at about $0.654, up roughly 32% from Friday’s $0.495. About 98 million shares traded, around four times its 24.0 million shares outstanding.

The stock has swung sharply since 6 October. On Monday 5 October it closed at about $0.19. It rose about 118% on 6 October, fell about 6% on 7 October, rose about 42% on 8 October and fell about 10% on 9 October. Monday’s close was about 3.5 times the 5 October level.

The likely catalyst

We found no company news for 12 October. OLB issued no release that day, and the latest item on its EDGAR page is the SEC’s 22 September notice that a resale registration had become effective.

The latest release, on 6 October, said OLB had suspended its ATM program and would not sell shares under it, because issuing stock at current prices “does not serve shareholders”. The board authorised a buyback of up to 1 million shares, about 4% of the share count. The release also said OLB is focusing on stablecoin payments and that “a new partnership will be announced in the near future”. Release.

No partnership had been announced by Monday’s close, and no 8-K accompanied the 6 October release. So the record shows no company-specific cause for Monday’s move.

Money and dilution check

At 30 June, OLB had about $1.3 million of cash against about $4.4 million of payables and accrued expenses. It used $2.4 million in operations in the first half, and revenue fell to $2.9 million from $4.6 million a year earlier. 10-Q.

Management concluded there was no substantial doubt about OLB continuing as a going concern. That view relied partly on expected ATM proceeds and loans from a revolving facility of up to $5 million with Yakov Holdings, controlled by CEO Ronny Yakov. About $0.1 million was drawn at 30 June.

The share count has more than doubled this year:

  • 9.4 million at 31 December 2025.
  • 15.8 million at 30 June, after a January registered direct offering at $0.60 and a February private placement of pre-funded warrants.
  • 24.0 million at 14 August, after OLB issued 8.27 million shares on 7 August to consultants and to settle payables.

Warrants outstanding include 2.17 million at $0.78, now registered for resale, and 3.57 million at $0.92. S-1, 424B5.

The ATM, with Maxim Group LLC, was set up on 7 August for up to $1.6 million. That is a ceiling, not cash raised, and baby shelf rules cap it. 8-K. “Suspended” isn’t “terminated”: the agreement ends on ten business days’ notice, and no termination has been filed. Any sales between 14 August and 6 October will show in the next 10-Q.

OLB also has a Nasdaq bid-price deficiency. Its second compliance period runs to 25 January 2027, and it told Nasdaq it would do a reverse split if needed. 8-K, 424B5. See the delisting process.

Dilution math

At-the-market program ceiling (Maxim Group LLC), suspended 6 October: up to $1.60M.

At the October 12, 2026 close of $0.65, that is about 2.4M new shares, or 10% of the 24.0M shares outstanding.

Arithmetic on filed capacity, not a forecast. Capacity isn't cash raised; sales show up in later filings. A ceiling, not cash raised, and suspended by the company on 6 October. Baby-shelf limits apply. No sales were reported by 14 August; sales from then to 6 October aren't reported yet.
