The short version

  • Alaunos bought Velaris Therapeutics, a private, preclinical pulmonary hypertension company, on 13 October, and agreed to issue $350 million of stock at $1.4357 a share, 37% above Monday's close. The placement was due to close on 14 October.
  • Almost all the new stock is non-voting preferred. As converted, the share count rises from about 3.8 million to about 386.9 million, leaving pre-deal holders with about 1%. Conversion needs a stockholder vote; the proxy is due by 12 November and no meeting date is set.
  • Once the vote passes, Fairmount's Peter Harwin and three Fairmount designees fill four of five board seats. If no approval comes, from 13 April 2027 holders can ask for cash instead of shares: about $1.16 billion at Tuesday's $3.03 close.

The likely catalyst

Before the open, Alaunos said it had completed its acquisition of Velaris Therapeutics and agreed a private placement of about $350 million. Press release, 8-K.

What Velaris is. A private biotech in Waltham, Massachusetts, working on pulmonary arterial hypertension. Its lead program, VLR199, is designed to work the same way as Merck’s approved drug Winrevair. Two more, VLR247 and VLR258, are versions meant to spare two proteins linked to blood-related side effects, and VLR360 is an antibody against PDGF-B. None has been tested in people. The company expects first trial filings in 2027 and early data on VLR199 in 2028. Its programs come from Paragon Laboratories, which Fairmount founded. Presentation.

The deal. Velaris holders received 105,286 shares of Series B and 33,054 shares of Series C non-voting convertible preferred, each convertible into 1,000 common shares. The merger agreement valued Velaris at $200 million and Alaunos at $15 million plus its net cash.

The placement. Investors agreed to purchase 687,789 common shares at $1.4357 and 243,063 Series C shares at $1,435.70, about $350 million in all. Fairmount Healthcare Fund II leads, and Fairmount funds are putting in about $100 million. Closing was expected on 14 October; we found no 8-K confirming it by our cut-off. See PIPE financing.

The charter filing (item 5.03). It creates the two preferred series. The name change to Velaris Therapeutics, a reverse split and the increase in authorized shares are proposals for a future vote, not done.

Who runs it

Holger Weis remains chief executive officer and chairman. Michael Henderson, MD, is president of Velaris. Peter Harwin, a founding partner of Fairmount, joined the board on 13 October. Directors Robert Postma, Michael Jerman and Jaime Vieser have resigned, effective only on approval of the conversion. Fairmount then names three directors, giving Harwin and its picks four of five seats.

Money and dilution check

At 30 June, Alaunos had $124,000 of cash, $652,000 of stockholders’ equity and 50 million authorized common shares. 10-Q. It raised about $915,000 net at $1.46 in September. 8-K. Nasdaq has told it the shares face delisting over equity, and it has asked for a hearing. 8-K. The company says the placement funds it into 2029.

On the company’s table, the as-converted count is 386.9 million: about 1% legacy holders, 36% Velaris holders and 63% placement investors. The press release says 358.59 million; the filings don’t reconcile the two. Paragon’s two warrants, assumed Velaris options and a new equity plan come on top.

What if the vote fails?

Shares issued in the deal can’t vote on conversion. Insiders and the legacy preferred holders have agreed to vote for it, and the quorum was cut to one-third in September. 8-K. Alaunos must keep calling a meeting every six months until it passes.

From 13 April 2027, without approval, holders can require cash at the shares’ market value instead. The preferred converts into about 381.4 million shares: about $1.16 billion at $3.03, or $548 million at the $1.4357 deal price, against about $350 million raised. Series C terms.

Dilution math

Series B and Series C non-voting preferred from the merger and the private placement, as converted. [8-K 2026-10-13]

Arithmetic on filed capacity, not a forecast. Capacity isn't cash raised; sales show up in later filings. The company's as-converted total; the press release gives about 358.59 million instead. About 3.8 million shares existed before the deal (fully diluted). Conversion needs a stockholder vote, an increase in authorized shares from 50 million, and is capped at up to 19.99% per holder. A reverse split of undecided ratio is also on the ballot.

What to watch

  • 2026-11-12: Deadline in the merger agreement to file the proxy statement for the stockholder meeting (30 days after 13 October). The meeting date will be set in it. [source]
  • 2026-11-13: Resale registration statement due, 30 calendar days after a 14 October placement closing. Once effective, the investors' shares can be resold publicly. [source]
  • An 8-K confirming the $350 million placement closed, and the outcome of the Nasdaq hearing on stockholders' equity, for which no date has been disclosed. [source]
  • 2027-02-10: First of two Paragon warrants, each for 1% of the fully diluted share count, due to be granted 120 days after closing. The second follows 12 months later. [source]
  • 2027-04-13: Six months after the preferred was issued. Without stockholder approval by then, holders can require cash settlement of conversions at the market value of the shares. [source]
  • 2027-06-30: On our reading, the end of the second full fiscal quarter after closing. If stockholders' equity, measured under Nasdaq rules, doesn't exceed $200 million then, Paragon can take back licensed rights. [source]
