Which narratives are microcaps pivoting to now? 1,727 first mentions in 8-Ks, 2023–2026
We tracked when Nasdaq and NYSE American microcaps first mentioned ten themes in their 8-Ks. In the last six months, first mentions of critical minerals nearly tripled and reverse mergers almost doubled, while crypto-treasury and stablecoin mentions fell. 69 of 74 microcaps that announced a crypto treasury in 2025 now trade below their pre-announcement price.
- Study period
- 8-Ks filed 1 January 2023 to 12 October 2026 (with a 24-month look-back from January 2021); prices through the 12 October 2026 close
- Sample
- 1,727 first mentions from 930 companies; 168 read-confirmed pivots from 145 companies; 74 crypto-treasury announcements in 2025
The short version
- First mentions of critical minerals in microcap 8-Ks rose from 10 in October 2025–March 2026 to 29 in April–September 2026. Reverse mergers rose from 25 to 48, space from 19 to 28 and defense from 26 to 35.
- AI and data centers stayed the largest theme: 123 first mentions in the last six months, up from 94. The average number of microcaps mentioning AI in an 8-K each month rose from 106 to 145.
- Crypto-treasury first mentions halved (14 to 7) and stablecoin first mentions fell by a third (24 to 16). Quantum computing was flat at 10.

- 74 Nasdaq and NYSE American microcaps announced a crypto treasury in 2025. The median stock was down 43.7% after 60 sessions and 82.1% by 12 October 2026. 69 of 74 traded below their pre-announcement price, and the median share count rose 1,366%.
Microcap 8-Ks show which stories companies are telling. We counted, month by month, how many Nasdaq and NYSE American microcaps mentioned one of ten themes in an 8-K for the first time in 24 months. Over the last six complete months (April to September 2026), first mentions of critical minerals, reverse mergers, space, defense and nuclear rose. First mentions of crypto treasuries and stablecoins, the 2025 themes, fell.
A mention is not a business. To get closer to a real pivot, we kept only first mentions where the company’s industry code and recent annual and quarterly reports showed no prior link to the theme, then read each filing. That left 168 pivots. Their returns, and the 2025 crypto-treasury wave, are below. These figures describe filings and past prices. They are not a view on any theme or company.

Space and nuclear also kept rising in the most recent three months. Reverse mergers and AI rose over six months but slowed in July to September.

AI is still the largest theme by a wide margin. In the last six months, 145 microcaps a month on average mentioned it in an 8-K, up from 106. Quantum computing peaked earlier: 16 first mentions in the third quarter of 2025, then 4 to 6 a quarter since.
Counts are small for several themes, so a few filings move the percentages. A first mention ranges from a merger agreement to a single line in a press release. The pivot test below is stricter.

The first sessions were close to flat, with a wide spread. After that, the median pivoting company fell well behind IWM. The median company had a market value of $13.3M at the filing, so these are very small stocks. Excluding crypto treasuries, the 120-session median was −62.2% (76 pivots).

Every theme with 10 or more pivots had a negative median at +20 and +60. Crypto-treasury pivots had the strongest first week (median +5.0% at +5) and the widest upside spread. Recent themes have short histories. Only one defense pivot and four critical-minerals pivots fall in the last six months, so their return figures are thin.
Examples from the sample: BT Brands, a restaurant operator, agreed in September 2025 to merge with drone services company Aero Velocity. Vivakor, an energy transportation and remediation company, announced a proposed combination with critical-minerals company M2i Global in August 2026.
Did the 2025 crypto-treasury pivot work?
74 Nasdaq and NYSE American microcaps announced a crypto or digital asset treasury in 2025, from 90 first-mention filings read by hand. 43 of the 74 came in July, August and September. The median company had a market value of $9.6M before the announcement.

By 12 October 2026, 69 of the 74 traded below their split-adjusted close before the announcement. Twelve had stopped trading before that date and are measured at their last close. Against IWM the figure falls below −100% because IWM rose over the period.
Dilution was large. Split-adjusted shares outstanding rose a median of 1,366% from the last count before the announcement to the latest. 60 of 73 companies at least doubled their share count and 51 grew it by more than 300%. In the filings we read, most treasuries were to be paid for by issuing stock, usually through private placements or equity lines. See stock dilution.

How we did it
Ten themes were defined up front as keyword lists (in the Method section) and searched with SEC EDGAR full-text search across Form 8-K filings and their exhibits, including EX-99 press releases. A first mention is a company's first 8-K matching a theme with no matching 8-K in the prior 24 months. Kept: Nasdaq or NYSE American companies with a market value under $300M at the filing date (cover-page shares outstanding times the month-end close). Blank-check companies (SIC 6770) and Onfolio Holdings (ONFO), which owns Microcap Ledger, are excluded. A pivot is a first mention where the company's SIC code is outside the theme's industry, none of its 10-K or 10-Q filings in the prior 24 months matched the theme, the theme is in the press-release headline or appears at least three times, and a reading of the filing confirms a company-specific step into the theme. RTO is read as reverse takeover: reverse mergers, reverse takeovers and reverse acquisitions. The event session is the first session at or after the filing's acceptance time (after 4pm ET means the next session). Returns run from the close before it, use Alpaca SIP split-adjusted daily closes and are compared with IWM. Share-count growth uses cover-page shares outstanding restated for splits.
